CONFLICTS OF INTEREST POLICY

Purpose. Each person involved in decision making at Grassroots Connect understands that the purposes of this policy are to protect the integrity of Grassroots Connect’s decision-making processes and to enable our constituencies to have confidence in our integrity.

Specifically, this conflict of interest policy seeks to protect the interests of Grassroots Connect when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer, director, or any person involved in decision making at Grassroots Connect. This policy supplements but does not replace any applicable state and federal laws governing conflicts of interest that are applicable to nonprofit and charitable organizations.

Standard & Duty to Disclose. The standard of behavior at Grassroots Connect is that all staff, volunteers, and board members scrupulously avoid conflicts of interest between the interests of Grassroots Connect on the one hand, and personal, organizational, and professional interests on the other. This includes avoiding potential and actual conflicts of interest, as well as perceptions of conflicts of interest. Generally, a conflict of interest exists when a person may benefit personally from a decision they could make in their organizational capacity with Grassroots Connect.

In the course of meetings or activities, each person involved in decision making at Grassroots Connect will disclose any interests in a transaction or decision where they (including their business or other nonprofit affiliations), their family, and/or their significant other, employer, or close associates will receive a benefit or gain. After disclosure, that person may be asked to leave the meeting for the discussion and will not be permitted to vote on the question.

We understand that this policy is meant to supplement good judgment, and we will respect its spirit as well as its wording.
